Introduction

Welcome to the MDKHL mobile application and website (the "Platform"). The Platform is owned and operated by Rowad almadina Company (Also Known as MDKHL) ("MDKHL", "we", "us", or "our").

Services and Role of MDKHL

Through the Platform, we provide a marketplace to search, book and pay for parking spaces and other services (the "Services") provided by independent third-party service providers ("Service Providers").

The Services may include:

Smart Parking: Finding and booking available parking spaces at locations shared with us or our own.

We do not ourselves provide or operate these Services. We merely facilitate reservations and payments between you ("Customer", "User", "you" or "your") and Service Providers. We are not responsible for fulfillment of the Services or acts and omissions of any Service Provider. Service Providers operate entirely independently from MDKHL.

When you make a reservation for Services on the Platform, you are entering into a binding contract directly with the Service Provider. The terms and conditions of the Service Provider ("Provider T&Cs") will govern your purchase and use of the Services.

Availability of Services

We aim for the Platform to be available without interruption. However, we do not guarantee continuous availability and may suspend access for maintenance as needed. When you make a reservation, availability of the specific parking space or other Service is not guaranteed.

User Accounts and Security

Registration may require creating a user account to access certain features of the Platform. You consent to the following in registering for an account:

Providing accurate, truthful account registration information.
Promptly updating any changes to your account information.
Maintaining security and confidentiality of your login credentials.
Restricting account access to authorized users only and preventing unauthorized use.
Notifying us immediately if you discover or suspect any security breaches or unauthorized activity related to your account.
Ensuring all activity associated with your account complies with applicable laws, regulations and Platform policies.

Making Reservations and Payment

The Platform allows you to search for the availability of Services in your area, compare options, check real-time prices, and make reservations.

To complete your reservation, you will need to provide the requested details and payment information. When you submit a reservation and payment details, you authorize MDKHL to collect payment on behalf of the Service Provider as its limited payment collection agent.

Payment Methods

You can make payments using a variety of methods to ensure convenience and security. Our Platform accepts the following payment methods:

Credit and Debit Cards: We accept major credit and debit cards, including Visa, Mastercard, and Mada. Your card details will be encrypted to ensure security and confidentiality. Transactions are governed by applicable card association rules and cardholder agreements. We assume no liability for issues related to your card or issuing bank policies.
POS / Cash: We accept major credit and debit cards, including Visa, Mastercard, and Mada, and cash in the casher ore KIOSK.
Digital Wallets: For faster, integrated payments, you may use digital wallets like Apple Pay and STC Pay. Your usage of digital wallets is subject to the applicable provider terms and conditions. We assume no liability for your dealings with any digital wallet provider.

All amounts listed for Services include any applicable taxes, unless stated otherwise. Following your reservation, you may be directly billed for additional taxes and fees incurred during your actual use of the Services (for example, based on the actual parking duration).

Your use of these payment methods is subject to the terms and conditions of the respective payment service providers. We ensure the secure processing of your payments but are not liable for any issues arising from the use of these payment services.

Cancellation and Refund Policy

Once a reservation is made, no cancellations or refunds are permitted unless required under the cancellation policy of the specific Service Provider or by law in limited circumstances. All sales are deemed final except as stated in the applicable Provider T&Cs. Review the Provider T&Cs carefully before making reservations.

If you wish to cancel a reservation, you must do so in accordance with the process and time periods set forth in the Service Provider's cancellation policy. Failure to properly cancel will result in all reservation fees being forfeited.

Conduct and Compliance

You agree to access and use the Platform and associated Services only for lawful purposes and in compliance with all applicable laws, regulations and Service Provider requirements.

Service Provider Terms and Facility Rules

When purchasing or using any Service, you agree to adhere to all applicable Provider T&Cs, instructions, posted signs and other usage policies communicated by the Service Provider, including where applicable, properly displaying any permit, ticket or pass, parking properly without obstructing other vehicles or facilities, and timely exiting facilities upon completion of the Service.

You are responsible for fully inspecting any rented or reserved item before use to confirm it is in good condition, and again before leaving to avoid any fees for new damage or tire marks incurred during your reservation.

No Other Use Rights

The Platform and all associated content are the property of MDKHL and its licensors. No right or license is granted to distribute, display, copy or make derivative works from the Platform or content for any commercial purpose or beyond personal, non-commercial use.

No scraping, data mining, extraction or use of robots, spiders or other automated data gathering and extraction programs is permitted in connection with the Platform, Service pricing or user data without our express written consent.

Intellectual Property

The look and feel of the Platform, including page headers, graphics, icons, scripting, designs, workflows, images, brands, trademarks, service marks, logos, software configurations and setups, trade dress, databases, proprietary information and other confidential information (collectively "MDKHL IP"), are owned by MDKHL or its technology licensors. You acknowledge that MDKHL IP constitutes valuable intellectual property having significant commercial value, and must not be used without express authorization from MDKHL.

All trademarks and service marks related to MDKHL or any third party displayed on the Platform are to be considered as legally protected. It is essential to recognize that trademarks or service marks used on the Platform, whether they belong to MDKHL or third-party entities, are not to be used without securing prior written consent from the respective owner.

Content Standards

Any content you provide or upload must conform to the content guidelines and policies of the Platform and the Kingdom of Saudi Arabia.

Content Guidelines & Policies

Prohibited content includes materials that are unlawful, abusive, tortious, defamatory, libelous, obscene, fraudulent or invasive of another's privacy.

We reserve the exclusive right to determine whether any User contributions or content violates any Content Guidelines & Policies, remove non-conforming materials and terminate repeat infringers.

Restrictions on Use

You shall not directly or indirectly:

Transmit any viruses, defects, Trojan horses, malware or other items of destructive nature;
Defame, abuse, harass, threaten or otherwise violate the rights of others;
Circumvent, disable or otherwise interfere with any security features of the Platform;
Modify, adapt, translate, reverse engineer, decompile or disassemble any portion of the Platform;
Attempt to damage or impair the proper operation of the Platform in any way;
Sublicense access to the Platform or any associated data feeds without express written consent;
Post or transmit any unlawful, infringing or objectionable content;
Launch automated programs for querying, indexing or aggregating Platform pricing or user data;
Transfer any rights granted to you under these terms;
Violate any applicable laws in connection with use of the Platform.

The Platform may contain links to websites operated by third parties (Third Party Sites) and third-party content integrated into the Platform (Third Party Content).

Third Party Sites and Content are not under our control. We provide Third Party Content and links solely for informational purposes and your convenience. We do not review, approve, monitor, endorse, warrant, or make any representations with respect to Third Party Sites or Third-Party Content. Your use of Third-Party Sites and Content is at your own risk.

Indemnification

You will defend, hold harmless and indemnify MDKHL including its affiliates and subsidiaries, along with its officers, directors, employees, successors and assigns (Indemnified Parties) on demand from and against any liability, damages (actual and consequential), claims, penalties, losses, fees, charges, costs, expenses (including reasonable attorneys' fees and litigation costs) incurred by the Indemnified Parties stemming from or relating to:

Your misuse of Services offered via the Platform or breach of these Terms and Conditions;
Your acts, omissions and representations associated with reselling, incorporating or redistributing any Services to third parties;
Your violation of any third party intellectual property, privacy, publicity, confidentiality or other rights.

Such indemnification obligations shall survive expiration or termination of these Terms and Conditions, your cessation of Platform access, and dissolution of your user account.

Disclaimers and Limitations of Liability

We strive to provide information that is accurate, complete and current but cannot guarantee so.

The Platform and Services are provided "as-is" and "as-available" without warranties, express or implied. We disclaim all warranties, express or implied, including any warranties of merchantability, fitness for particular purpose, title, quiet enjoyment, accuracy and non-infringement.

You assume full responsibility and risk of loss resulting from your use of the Platform and Services.

Our maximum total liability arising out of or relating to these terms or the Platform will not exceed the amount of service fees paid by or on behalf of you to MDKHL in the one year prior to the first event giving rise to liability.

We will not be liable for any special, consequential, indirect, incidental, punitive or exemplary damages, even if advised in advance of the possibility for such damages.

Termination and Changes

We reserve the right to modify these terms or any Platform policies from time to time by posting an updated version. Continued use of Services after a change constitutes acceptance. For significant changes, you will be asked to re-accept the terms when you next log in.

We may terminate your Platform access if you breach any term and fail to cure within ten (10) days notice of the breach. Upon any termination, suspended services will no longer be available.

MDKHL reserves the right to suspend, restrict or terminate Platform access for any reason at our discretion without notice, including for violations of these terms, extended periods of account inactivity or discontinuation of Platform services. We also may block IP addresses of T&C violators.

General Provisions

No agency, partnership, employer-employee or franchiser-franchisee relationship is intended or created between MDKHL and any customer or Service Provider.
If any provision of these terms is deemed unenforceable, the remaining provisions will continue unaffected.
These terms constitute the entire agreement between you and MDKHL relating to their subject matter, superseding any prior or contemporaneous understandings regarding such subject matter.
These terms will be governed by the laws of the Kingdom of Saudi Arabia. The exclusive venue for any dispute resolution will be in the competent courts in the city of Riyadh in the Kingdom of Saudi Arabia.
